About Team/Role

The Senior Legal Counsel for Health will be responsible for general legal support for WEX's Health line of business on complex commercial transactions, primarily supporting WEX's Health commercial team and engaging collaboratively with other legal SMEs, finance, operations and compliance teams as well as external advisers such as outside counsel.

How you'll make an impact

The Legal Counsel for Health will:

  • Provide general in-house support for legal matters concerning WEX Health activities and operations, including supporting complex commercial transactions with customers and partners.

  • Negotiate, draft and review a variety of agreements, including cloud-based technology and healthcare payment solution services agreements (SA's), HIPAA Business Associate Agreements, prepaid stored value card agreements, and nondisclosure agreements with third party administrators, financial institutions, payroll providers and heal plans, while facilitating necessary input from key stakeholders.

  • Research legal issues and provide expertise in the underlying laws and regulations governing tax-qualified plans administered by WEX Health (e.g., FSAs, HRAs, HSAs, transit, wellness), including ERISA, HIPAA, the Internal Revenue Code, and Medicare/Medicaid regulations.

  • Identify, manage and escalate as necessary any issues and risks arising during drafting and/or negotiations with customers, partners and other third parties, including with respect to regulatory or compliance matters.

  • Support business development activities including RFPs and business integration.

  • Review marketing collateral, press releases, and marketing initiatives, as requested by WEX Health.

  • Build and maintain processes consistent with best practice operations of large legal teams, including (1) maintaining and updating standard templates and creating playbooks; and (2) providing guidance for requirements for the development, creation and maintenance of contracting processes, including automated contracts and commercial support systems.

  • Collaborate with colleagues in other areas of the legal department to identify and provide comprehensive legal guidance.

  • Ensure agreements adhere to corporate policies and standards.

  • Manage and resolve specific contractual queries or pre-litigation disputes raised by customers or commercial partners.

  • Raising and exploring opportunities to improve process efficiency within the legal team.

  • Develop and maintain policies and procedures to protect the company and ensure compliance.

  • Be responsible for engaging, instructing and managing outside counsel.

  • Provide commercially focused advice and recommendations to internal stakeholders regarding compliance with contractual terms and any other relevant policies and standards, while identifying potential business risks and non-favorable clauses for negotiation.

  • Be actively involved with the operations and commercial organizations to develop customer agreements and other commercial contracts.

Experience you'll bring

  • Education: J.D. required

  • Experience: 5+ years of legal experience, or equivalent relevant experience demonstrated through one or a combination of the following: work experience or military experience.

  • Experience in health benefits and consumer privacy/data protection law and regulations, preferably in an in-house environment.

  • Significant commercial drafting and negotiating experience, including in the health sector or technology agreements

  • Excellent verbal and written communication and interpersonal skills

  • Excellence in resourceful problem solving, detailed analysis, and issue resolution

  • Excellent ability to understand complex commercial and technical issues and business metrics

  • Effective organizational, multi-tasking, and prioritization skills

  • Collaborative and can work as part of a team, while also being an independent self-starter

  • Proactive in pursuit of continuous improvement, learning new skills, and addressing clients' business needs with practical solutions

The base pay range represents the anticipated low and high end of the pay range for this position. Actual pay rates will vary and will be based on various factors, such as your qualifications, skills, competencies, and proficiency for the role. Base pay is one component of WEX's total compensation package. Most sales positions are eligible for commission under the terms of an applicable plan. Non-sales roles are typically eligible for a quarterly or annual bonus based on their role and applicable plan. Salary Pay Range: $146,000.00 - $194,000.00
